These Website Terms and Conditions ("Terms" or "Agreement") govern your access to and use of Lexyno's public-facing website(s) that link to these Terms (the "Site"). The Site includes product information, pricing, documentation, and lead-intake features such as "Request Evaluation Access."
Important: Your use of Lexyno's software application and related services (the "Platform" or "Services") is governed by a separate written agreement between Lexyno and the subscribing customer (such as the Lexyno Subscription Terms and Conditions, an Order Form, and, where applicable, a Business Associate Agreement). These Terms apply only to the Site unless your customer agreement explicitly states otherwise.
1. Acceptance of the Terms
By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, you must not access or use the Site.
We may update these Terms at any time by posting a revised version on the Site. Continued use of the Site after changes become effective constitutes acceptance of the updated Terms. If changes are not acceptable to you, your sole remedy is to stop using the Site.
Your use of the Site is also subject to Lexyno's Privacy Policy.
2. Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. The Site is intended for business and informational purposes related to Lexyno.
Prohibited activities
- Violating any applicable law or regulation.
- Interfering with or disrupting the Site, servers, or networks connected to the Site.
- Attempting to gain unauthorized access to systems, accounts, or data.
- Scraping, crawling, or harvesting data using automated means without written permission.
- Reverse engineering, decompiling, or disassembling any portion of the Site, except as permitted by law.
- Uploading malware or harmful code, or using framing or mirroring techniques without consent.
- Using the Site to send unsolicited communications or spam.
3. Evaluation Access and Submissions
If the Site allows you to submit information to request sample outputs, demos, or evaluations, such submissions are provided for evaluation purposes only. Lexyno is not obligated to respond, provide samples, or accept you as a customer.
Unless explicitly requested by Lexyno in writing, you should not submit medical records, Protected Health Information, highly sensitive personal data, credentials, or payment information through the Site. Protected Health Information and other case data are processed only within the Platform under the Lexyno Subscription Terms and Conditions and, where applicable, a Business Associate Agreement — not through the Site.
4. Intellectual Property
The Site and all materials made available through it, including text, graphics, images, software, layouts, and logos (collectively, "Content"), are owned by Lexyno or its licensors and are protected by intellectual property laws.
Lexyno grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content solely for lawful business evaluation of Lexyno.
You may not copy, reproduce, modify, distribute, publicly display, create derivative works from, or exploit any Content without prior written permission.
5. Feedback
If you provide feedback, suggestions, or comments about the Site, you grant Lexyno a royalty-free, fully paid, worldwide, transferable, sublicensable, irrevocable, and perpetual license to use such feedback for any lawful business purpose, without compensation.
6. Disclaimers (No Warranties)
The Site and Content are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Lexyno disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Site is for general informational purposes only and does not constitute legal advice. Use of the Site does not create an attorney-client relationship.
7. Limitation of Liability
To the maximum extent permitted by law, Lexyno will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Site.
To the extent liability cannot be fully disclaimed, Lexyno's total liability related to the Site will not exceed USD $100.
8. Indemnification
You agree to defend, indemnify, and hold harmless Lexyno and its affiliates, officers, directors, employees, and agents from any claims or expenses arising out of your breach of these Terms or misuse of the Site.
9. Termination
Lexyno may suspend or terminate your access to the Site at any time and for any reason. Provisions that by their nature should survive termination will survive.
10. Compliance With Laws and Export Controls
You are responsible for complying with all laws applicable to your use of the Site, including export control and sanctions laws.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
12. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and Lexyno regarding the Site.
